This indenture documents the terms and conditions (“Terms”) of Smileon.dentist (“Website”). The Website is owned and operated by Smileon.dentist (“We”, “Us” or “Our”). These Terms constitute a legal agreement between you (“User”, “You” or “Your”) and Website. 

Acceptance of Terms

By accessing or using the services provided by Smileon.dentist through our Website, You acknowledge that You have read the Terms set forth herein and that You agree to be bound by these Terms. If you disagree with any part of these Terms, please refrain from using the Website. 

Smileon.dentist may modify or amend the said Terms by posting updates on the Website. The User’s continued use of the Website following any such changes means User agrees to and accepts the revised Terms. No other conduct will constitute acceptance. These Terms constitute the entire agreement between you and Smileon.dentist regarding use of the Website.

Services and Appointments

Smileon.dentist offers dental services including but not limited to general dentistry and cosmetic dentistry. The services we offer are emergency and preventive care, composite fillings/crowns, periodontics/sensitive & receding gums, dental implants, root canals, invisalign, and teeth whitening. Our Website provides information about Our services and appointment scheduling.

Our Website allows You to schedule appointments. Online scheduling requires creating an account on the Website. You will be asked to provide basic information such as Your first and last name, contact information, and date of birth. Fees for services are not listed on the Website, but You can request a quote during Your consultation. While booking appointments through our Website, You agree to provide Us with accurate and up-to-date information. We reserve the right to cancel or reschedule appointments at our discretion. 

Appointment Cancellation

In the event of cancellation of the appointment, User must provide a notice at least 2 hours prior, stating the reason for cancellation. Failure to provide notice timely may result in a cancellation fee. 

Payment 

User is responsible for payment of applicable fees for booked appointments through the Website. Smileon.dentist reserves the right to change its fee at any time in its sole discretion. User shall be responsible for payment of all taxes associated with appointment booking.

User shall pay any applicable fees through any of the methods accepted through the Website, which may include credit cards, debit cards, electronic funds transfers and other methods of payment accepted by Smileon.dentist from time to time. All fees are non-refundable, except in Smileon.dentist’s sole and absolute discretion. All your payment card information is securely submitted directly to and processed by our third party payment processor in compliance with all the applicable laws. We do not directly receive or store any customer payment data. The third party payment processor is compliant with PCI security standards for protection of payment and card details.

Limited License to Use Content 

Smileon.dentist grants You, the User, a non-exclusive, revocable, non-transferable, limited license to use and access the content displayed on this Website such as text, data, images, and other materials (Together “Content”) to view, print, or download the Content solely for personal and informational purposes only.
 

Restrictions on Use

You are prohibited from using any of the Content for commercial purposes.

Do not share any content or information to Smileon.dentist, if You do not agree to this exclusive license.

Disclaimers and Limitation of Liability

The Website and services are provided on an “as is” and “as available” basis without warranties or representations of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. If, for any reason, the matter remains unresolved after ninety (90) days from the receipt of your written complaint, you agree to pursue other dispute resolution measures as described below.

You acknowledge and agree that in the event of any dispute or claim arising out of or relating to your use of the Website and the Terms set forth herein or in connection withOur services, which can not be resolved informally,the sole and exclusive remedy and forum shall be final and binding arbitration. The arbitration shall be administered by the American Arbitration Association (“AAA”) and in accordance with the Federal Arbitration Act (“FAA”). The arbitration shall be held in Corona, California. This applies except in cases where you have infringed upon or violated any of Smileon.dentist’s or any third party’s patent, copyright, trademark, trade secret, privacy or publicity rights. In such instances, you acknowledge that injunctive or other appropriate relief may be sought by Smileon.dentist and/or the relevant third party either in court or from an arbitrator, as there may be no adequate remedy at law. 

This provision shall not operate as a bar to either party from seeking interim relief, such as orders to stay court proceedings or compel arbitration. Additionally, both Parties reserve the right to apply for injunctive relief, including temporary restraining orders and preliminary injunctions, in state or federal courts located in Corona, California, for the protection of intellectual property rights. You expressly acknowledge and agree that a violation of these Terms would constitute irreparable harm to the Smileon.dentist, and You hereby consent to the Smileon.dentist’s seeking immediate injunctive relief from a court of competent jurisdiction in the event of such a breach.

Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, NO ARBITRATION OR OTHER CLAIM UNDER THESE TERMS SHALL BE JOINED TO ANY OTHER ARBITRATION OR CLAIM, INCLUDING ANY ARBITRATION OR CLAIM INVOLVING ANY OTHER CURRENT OR FORMER USER OF THE WEBSITE, AND NO CLASS ARBITRATION PROCEEDINGS SHALL BE PERMITTED. YOU HEREBY EXPRESSLY WAIVES ANY ABILITY TO MAINTAIN ANY CLASS ACTION IN ANY FORUM.

Jury Trial Waiver: YOU AND WE BOTH HEREBY WAIVE OUR RIGHT TO JURY TRIAL IN ANY LITIGATION ARISING OUT OF OR RELATED TO THESE TERMS AND THE WEBSITE.

Changes to these Terms

We reserve the right to modify, amend, or make necessary changes to the Terms set forth in this Agreement from time to time. In the event of any changes, We will notify you through means such as email, notices on the Website, or updating the date displayed at the top of these Terms. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law principles. You agree that any dispute arising out of or relating to these Terms or use of the Website will be subject to the exclusive jurisdiction of state and federal courts located in Corona,California USA.You waive any objection to the exclusive jurisdiction and venue of such courts or that such courts represent an inconvenient forum.

Termination

We may terminate Your access to the Website at any time, for any reason, without notice. We specifically reserve the right to terminate, if You violate any of the Terms set forth herein.

Assignments

The User may not assign any of its rights or obligations under the Terms set forth herein without the prior written consent of the Smileon.dentist. We may assign our rights and obligations under the Terms set forth herein, to an affiliate without User consent.

Notices

We may provide any notice to the User under the said Terms by posting it on the Website or by emailing it to the User’s registered email address. The User may give notice to Smileon.dentist by sending an email to the registered business address provided on the Website. Notices shall be deemed to have been given 24 hours after emailing or upon posting to the Website.

Force Majeure

We shall not be liable for any failure or delay in performing the obligations under these Terms, if such failure or delay or failure is caused due to circumstances beyond our reasonable control including but not limited to acts of god, war, strikes or labor disputes, government orders, terrorism, civil unrest, or disruption or failure of third party networks or infrastructure. In the event of a force majeure event, our obligations under the Terms set forth in  this Agreement shall be suspended until the event ceases and resumes as soon as reasonably practicable post the event.

Entire Agreement

The Terms set forth herein constitute the entire agreement between Smileon.dentist and the User relating to the use of the Website or in connection with Our services and supersedes all prior understandings or agreements (whether oral or written), claims, representations regarding such matter.
